2. Definitions

  • “We”, “Our”, or “Us” refers to Vital Collective and its owner, Charlene Li.

  • “Client”, “You”, or “Your” refers to any individual, company, or entity that enters into an agreement with Vital Collective for services.

  • “Services” refers to the products or offerings as described on our website, including but not limited to website design and development, UX/UI design for mobile and web apps, consulting, and brand/graphic design.

3. Scope of Services

The scope of the services provided by Art Hoc is as listed in the description of the product in the Services page, Store, Scheduling or anywhere you clicked to purchase a product or service and entered your payment information unless agreed upon separately in writing. By engaging in a project Art Hoc, you acknowledge that an email agreement may be considered a legally binding method of agreeing to the Terms for all projects.

5. Payments and Fees

Fees for our services will be as described on our website or as agreed upon separately. All payments are due upon receipt of invoice unless stated otherwise.

6. Confidentiality

Art Hoc respects the confidentiality of all its clients. Any information shared with us will be kept strictly confidential and will not be shared with third parties unless required for the fulfilment of services or by law.

7. Intellectual Property

Upon receipt of full payment, the client is granted a sole licence to the finalised designs and other creative elements as defined within the agreed-upon scope, for a duration of 5 years. This licence pertains exclusively to the final designs within the defined scope and does not encompass preliminary versions, drafts, or any other preparatory materials generated during the project's development phase. For discounted and complimentary items, a non-exclusive licence applies.

Vital Collective reserves the right to showcase and reference the work, inclusive of preliminary materials, in portfolios, promotional activities, and various marketing channels.

Unless agreed upon separately, defaulting on payments will revoke all licenses and usage rights, and result in website suspension. 

8. Termination

Either party may terminate the agreement with written notice. If termination occurs before project completion, the client will be billed for work completed up to the termination date.

9. Limitation of Liability

Art Hoc will not be liable for any indirect, special, or consequential damages arising out of or in connection with the use of our services. Our entire liability in respect of any single cause of action arising out of or in connection with our services or agreement shall be limited, to the extent that the cause of action relates to our services, to the aggregate of the amounts paid to us for the services in relation to which such cause of action arises.

10. Jurisdiction and Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Victoria, Australia. Any disputes arising from the use of this website shall be exclusively subject to the jurisdiction of the courts in Melbourne, Victoria.

11. Changes to Terms & Conditions

Vital Collective reserves the right to modify, add, or delete any sections from this Terms of Use at any time without prior notice. It's the client's responsibility to review these terms regularly.

12. Acceptance

By using our website and engaging in our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.
